FREE Australian Independent Contractor Agreement

INDEPENDENT CONTRACTOR AGREEMENT

This Independent Contractor Agreement is made on [Date] by and between:

[Name of the Company], having its registered office at [Address], hereinafter referred as the “Company”;


AND


[Name of the Contractor], having his permanent place of residence at hereinafter referred as the “Contractor”.



The parties agree as follows:



BACKGROUND: The Company has launched a product [Product]. Working in partnership with the Contractor, the Contractor shall assist and promote to launch the Product within the territory of [State] (“Territory”).



SERVICES: The Contractor agrees to provide services to the Company as described in Exhibit "A".



COMPENSATION: Upon signing of the Agreement by both the parties, and an itemized written request from the Contractor, the Company may advance a sum of up to [Percentage] % of the total being $ [Amount] compensation to the Contractor to accomplish tasks in Exhibit A.

TERM: The term of this Agreement commences on [Starting Date] and continues until [End Date] and under the terms set forth in Exhibit "A" or until otherwise terminated by the parties.



CONTRACTOR STATUS:

(a) The Contractor shall act as an independent contractor, and in no way shall be considered an employee of the Company. CONTRACTOR shall be responsible for payment of taxes, insurance, and other obligations relating to its performance of services under this Agreement.



NON-EXCLUSIVE CONTRACT: This Agreement is non-exclusive. The Contractor reserves the right to perform services for others during the term of the Agreement.

INDEMNIFICATION:

(b) The Company hereby indemnifies and holds harmless the Contractor from all claims and liabilities resulting from acts or omissions by Company under this Agreement.

ARBITRATION: The parties hereby agree to submit any disputes arising under this Agreement to arbitration under the rules of the Institute of Arbitrators and Mediators Australia (IAMA”).

APPLICABLE LAW. -- This Agreement shall be construed and enforced under the laws of the Australia, irrespective of the fact that one of the parties may become a resident of another state. Venue for any action under this Agreement shall lie in [City], Australia.
