GENERAL SERVICE AGREEMENT

This General Service Agreement (“Agreement”) is made on [Date] by and between:

[Name of the Company], having its registered office at [Address], hereinafter referred as the Company;


AND



[Name], having his permanent residence at [Address], hereinafter referred as the Contractor.



The Contractor shall provide all services through qualified individuals. The services will include all services that may be provided, arranged or otherwise procured by Contractor from time to time on behalf or at the request of the Company.



In consideration of services rendered by the Contractor, he shall be paid a fees in accordance with the Rate Sheet heretofore provided as an Annexure-A in this Agreement. The Company may modify the rates set forth in the Rate Sheet from time to time. Payment is due on receipt. A late charge and finance charge of 1.5% per month will be applied to all payments over fifteen (15) days past due.



If any provision of this Agreement, including the attached Terms and Conditions, is held invalid, illegal or unenforceable, the validity, legality or enforceability of the remainder of this Agreement will not in any way be affected or impaired thereby and shall be carried out as if such invalid provision were not contained herein.





Upon the Company’s request, the Contractor must fully inform the Company of all work done by the Contractor or a Subcontractor in connection with providing the Services.



The Contractor must indemnify and save harmless the Company and the Company’s employees and agents from any losses, claims, damages, actions, causes of action, costs and expenses that the Company or any of the Company’s employees or agents may sustain, incur, suffer or be put to at any time, either before or after this Agreement ends.



This Agreement shall be governed by and construed in accordance with the laws of the [State], Australia without reference to the conflict of laws principles thereof.
