EMPLOYMENT AGREEMENT


This EMPLOYMENT AGREEMENT (“Agreement”), entered into on [Date] by and between:


[Name of the Company] having its business address at _________________, a company incorporated under the laws of [State], Canada (hereinafter referred as the "Company"),



AND



[Name of the Employee], having his/her permanent address at [Address], with passport/social security number being [Number] (hereinafter referred as the "Employee"),



WITNESSETH THAT:



WHEREAS, the parties hereto desire to enter into this Agreement for setting out the terms and conditions of the employment between the Employee and the Company in general and to train the Employee for [the mail duty or responsibility of the employee] as the Employee of the Company and provide them with training and in general define and set forth the terms and conditions of the employment of the Employee by the Company;





1. Positions; Employment Period:



1.1 The Company hereby employs the Employee as its [position], and the Employee hereby agrees to serve in such capacity, for the period beginning [start date], and ending on the [Ending date], for a period of two (2) years on which the Employee's employment is terminated in accordance with terms of this Agreement.



2. Performance of Duties:



2.1 The Employee agrees that during the Employment Period he/she shall devote his/her full business time to the affairs of the Company.





3. Compensation:



(a) He shall receive an annual salary, payable in monthly or more frequent installments, in an amount which shall initially be [AUS $ amount] per annum, subject to such increases as may from time to time be determined by the Company.





5. Confidentiality:



5.1 During and after the Employment Period, the Employee will not divulge or appropriate to his/her own use or to the use of others, in competition with the Company.





7. Amendments and Termination:



7.1 This Agreement may be amended or cancelled by mutual agreement of the parties without the consent of any other person.



9. Non-Assignment:



9.1 The interests of the Employee under this Agreement are not subject to the claims of his creditors and may not be voluntarily or involuntarily assigned, alienated or encumbered.



11. Applicable Law:



11.1 The provisions of this Agreement shall be construed in accordance with the laws of the State of [State], Australia.



11.2 Any claim or controversy that arises out of or relates to this Agreement, or the breach of it, shall be settled by arbitration in accordance with the rules of the State of [Alberta]. The arbitrator’s award shall be final in this regard. Judgment upon the award rendered may be entered in any court with jurisdiction.



12. Counterparts:



12.1 The Agreement may be executed in two or more counterparts, any one of which shall be deemed the original without reference to the others.





IN WITNESS WHEREOF, the Employee has hereunto set his/her hand, and the Company has caused these presents to be executed in its name and on its behalf, all as of the day and year first above written.
