MARKETING AGENCY AGREEMENT

This Marketing Agency Agreement is made on [Date] by and between:

[Name of the Principal], having his business address at [Address], hereinafter referred as the Principle;

AND

[Name of the Agent], having his permanent place of residence at [Address], hereinafter referred as the Agent.


WHEREAS the Principal do hereby constitute and appoint the Agent for conducting the Marketing functions [Marketing functions or the duties given to the Agent by the Principal].

AND IN CONNECTION THEREWITH:



Scope: Providing that the Marketing Agent has not breached any provisions of this agreement and provided further that the Marketing Agent diligently and faithfully carries out the duties and obligations imposed on it by this Agreement, the Marketing Agent shall, during the term of this Agreement, and any extended period of Agreement or upon renewal of this Agreement, be the Principal’s marketing Agent of the selling private label products on a global basis. any other private label brand.


Fee: The Agent shall be entitled to a commission of [Percentage] % of the Sales, which is generated by the Agent.


Pricing Policy: Prices are subject to revision and change by the Principal

from time to time, and the Principal will make every effort to provide the

Agent 30-45 days notice of any price changes.


Sales Activities: The Principal grants the rights to the Agent to

market promote and sell the private label branded products.

Customer Inquiries. The Principal covenants and agrees that all inquiries

with respect to private label brands, or orders for, the Agents brand

of Products received by the Principal shall be referred to the Agent for

the Agent's attention in accordance with the terms of this agreement.



Obligations of the Agent: During the term of this Agreement the Agent shall use its best efforts to advertise and promote the sale of the private branded Products and to make regular and sufficient contact with prospective clients of Principal.

Independent Contractor. The Agent shall be an independent contractor, and all persons working under the direction of Principal shall be employees of Agent and not of Principal.
