FREE Australian Manufacturing Agreement

This free Manufacturing Agreement is designed to be a contract between the creator of a product and the company that will manufacture the product. It is for use in Australia and contains the terms of the agreement between the parties.

MANUFACTURING AGREEMENT

This Manufacturing Agreement is made on [Date] by and between:

[Name of the Company], having its registered office at [Address], hereinafter referred as the Company;

AND

[Name of the Manufacturer], having its registered office at [Address], herein after referred as the Manufacturer.


WHEREAS:



The Company has created a prototype of a [Product] (“Product”) and the Company owns all the Patent, Copyright, Trademarks and related Intellectual Property rights in relation to the Product.



And the Company has agreed to appoint the Manufacturer and the manufacturer has agreed to manufacture the Products of behalf of the Company based on the orders and specifications provided by the Company.



Appointment:



The Company appoints the manufacturer and the Manufacturer accepts the appointment on behalf of the Company to manufacture the Product (“Services”) subject to the satisfaction of the Company.



The term of this Agreement is for a period of [Years] years and the Manufacturer agrees that that all the rights granted under this Agreement to the Manufacturer shall expire after end of this Term.



The Company shall pay a fee of AUS $ [Amount] per final Product manufactured by the Manufacturer. The Company shall have right and option to reject any Product manufacturer by the Manufacturer incase such Product does not meet the specifications as provided by the Company.



Performance. Manufacturer shall perform all Services diligently and in a good, professional and first class manner, using good quality materials, equipment and workmanship and sufficient trained personnel (including supervisors when appropriate) to complete the Services in a safe and timely manner.



Independent Contractor. The Manufacturer shall be an independent contractor, and all persons working under the direction of Contractor shall be employees of Manufacturer and not of Company.



Governing Law: This Agreement shall be construed and enforced in accordance with the laws of the State of [State], Australia.
