FREE Australian Finder’s Fee Agreement

A free Finder’s Fee Agreement for use in Australia when entering into an agreement with another party who will help arrange for an investment or a business relationship with a third party. This contract contains many important terms including the scope of the relationship and the fees.

FINDER’S FEE AGREEMENT

This Finder’s Fee Agreement is made on [Date] (“Effective Date”) by and between:

[Company], having its registered office at [Address] hereinafter referred as the Company;



AND



[Name], having his permanent place of residence at [Address], hereinafter referred as the Finder.



WHEREAS it is agreed between both the parties that as of Effective Date, that, in the event Company or an entity affiliated with, or created, or controlled by the Company, acquires all or a portion of the stock and/or all or a portion of the assets of [Target Company] (“Target Company”) , a fee shall be paid at the closing to Finder by the Company.



The Finder’s Fee shall be calculated as follows:







The Company shall not be liable for any reimbursement or payment to Finder other than the fee calculated above, which is payable only if there is a closing within [Number of months] months of the date of Company’s signature below.



In the event that discussions and/or negotiations are taking place between the Target Company and Company at the end of [Months] months, then the terms of this agreement shall be extended until these discussions and/or negotiations are completed or terminated.

This Agreement is intended to be solely for the benefit of the parties hereto and is not intended to confer, and shall not be deemed to confer, any benefits upon, or create any rights in or in favor of, any person other than the parties hereto.



This agreement shall be governed by the laws of the [State], Australia and may be amended only in writing signed by both parties.



Finder's role in implementing this Agreement shall be only to introduce to the Company potential participants in the business transaction. Finder shall not engage in any negotiations, advise or make recommendations concerning the transaction.



This Agreement embodies the entire agreement and understanding of the parties hereto in respect to the subject matter contained herein.
