FREE Australian Purchase Agreement

PURCHASE AGREEMENT



This Purchase Agreement (“Agreement”) is made on [Date] by and between:



[Name of Buyer], having his permanent place of residence at [Address] hereinafter referred as the "Buyer",



AND



[Name of Seller], having his permanent place of residence at [Address] hereinafter referred as the "Sellers".



A. The Seller is engaged interalia, in the business of [Describe the business of the Seller] (the "Business") manufacturing [Product], (“Product”).



B. Buyer desires to purchase from Sellers and Sellers desire to sell to Buyer, Products at the date of this Agreement, on the terms and conditions set forth in this Agreement.





Purchase and Sale of Product: Subject to all of the terms and conditions of this Agreement, at the Closing, Seller hereby agrees to sell, transfer and convey to Buyer, and Buyer agrees to purchase and acquire from Seller, free and clear of all liens, claims, charges, restrictions, the Products [Describe the number, quantity and quality specifications here] from the Seller.



Purchase Price: The Purchase Price for the Shares shall be AUS $ [Price] (the "Purchase Price"). The Purchase Price shall be paid by Buyer to Seller at the Closing, by bank cheque, bank wire transfer or such other method as may be mutually agreed upon by the parties.





Default:



If Seller fails to make the required deliveries at the Closing or otherwise defaults under this Agreement, then Buyer shall have the right to terminate this Agreement and thereupon this Agreement shall be null and void and of no legal effect whatsoever. If so terminated, each party hereto shall suffer their own losses, costs, expenses or damages arising out of, under or related to this Agreement.



Governing Law:



This Agreement shall be governed by and construed in accordance with the laws of the State of [State], Australia.
