BUSINESS PLAN CONFIDENTIALITY AGREEMENT

THIS BUSINESS PLAN CONFIDENTIALITY AGREEMENT (the "Agreement") dated [Date] is made by and between:

[Name of the Company] having his permanent place of residence at [Address] (the " Recipient") OF THE FIRST PART

AND

[Name of the Recipient] having its registered address at [Address] (the "Company") OF THE SECOND PART.

WHEREAS:

This agreement is to acknowledge that the information provided by Company to the Recipient is in this business plan is unique to this business and confidential; therefore, the Recipient or anyone reading this plan agrees not to disclose any of the information in this business plan without the express written permission of the Company.

It is also acknowledged by the reader of this business plan that the information furnished in this business plan, other than information that is in the public domain, may cause serious harm or damage to Company and will be kept in the strictest confidence.

During the course of this Agreement, the Recipient shall receive from the Company, or develop on the behalf of the Company, various Confidential Information on behalf of the Company as a result of this Business Plan (the 'Permitted Purpose').

1. Confidentiality:

Recipient agrees that any and all knowledge or information that may be obtained with respect to the conduct and details of the business of the Company and with respect to the secret processes, formulas, machinery, etc. used by the Company in manufacturing its products or services will be forever held inviolate and be concealed from any competitor and all other persons and that he or she will not engage as employer, employee, principal, agent, or otherwise, directly or indirectly, at any time in a similar business, and that he or she will not impart the knowledge acquired to anybody.

The Recipient acknowledges and agrees that all rights, title and interest in any Confidential Information will remain the exclusive property of the Company. Accordingly, the Recipient specifically agrees and acknowledges that the Recipient will have no interest in the Confidential Information.

3. Return of Confidential Information

The Recipient agrees that, upon request of the Company, or in the event that the Recipient ceases to require use of the Confidential Information, or upon expiration or termination of this Agreement, or the expiration or termination of the relationship with the Company, the Recipient will turn over to the Company all documents, disks or other computer media, or other material in the possession or control of the Recipient.

4. Governing Law:
